Terms of Service

This agreement governs your use of the NaqlaHub platform. By creating an account or using any part of the Service, you agree to be bound by these Terms. Please read them carefully before proceeding.

Important: These Terms of Service ("Terms") constitute a legally binding contract between you ("User," "you," "your") and NaqlaHub ("NaqlaHub," "we," "our," "us"). By accessing or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to be bound by these Terms. If you are agreeing on behalf of a business entity, you represent that you have authority to bind that entity.

1. Acceptance of Terms

By creating an account, accessing any part of the NaqlaHub platform, or clicking "I agree," "Sign up," or any similar button, you agree to these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree with any part of these Terms, you must not access or use the Service. Your continued use of the Service after any modification to these Terms constitutes acceptance of the updated Terms.

These Terms apply to all users of the Service, including free-tier users, paid subscribers, and users accessing the Service through an agency or multi-workspace arrangement.

2. Eligibility & Age Requirements

Minimum Age

You must be at least 18 years of age to use the Service. The Service is designed for businesses and professionals who operate advertising accounts on platforms including Google Ads, Meta, TikTok, Snapchat, Salla, and Zid. These platforms themselves require users to be adults to hold advertising accounts.

By registering, you represent and warrant that you are at least 18 years old. If we determine that a user is under 18, we will immediately terminate that account and delete all associated data.

Legal Capacity

You must have the legal capacity to form a binding contract in your jurisdiction. If you are registering on behalf of a business, partnership, or other legal entity, you represent that you have authority to bind that entity to these Terms.

Jurisdictional Compliance

You are responsible for ensuring that your use of the Service complies with all laws and regulations applicable in your jurisdiction, including laws governing data protection, advertising, and the use of third-party platform APIs.

3. Description of the Service

NaqlaHub is a multi-platform marketing analytics dashboard that enables users to:

  • Connect their advertising accounts on Google Ads, Meta (Facebook/Instagram), TikTok for Business, Snapchat Ads, Salla, and Zid via API credentials or OAuth authorization
  • Retrieve advertising performance data (spend, revenue, impressions, clicks, conversions, ROAS, CPA, CTR, and related metrics) from connected platforms
  • Display, aggregate, analyze, and compare advertising performance data across platforms in a unified dashboard
  • Export data in CSV format
  • Manage multiple stores or client accounts in isolated workspaces

What the Service Does NOT Do

  • NaqlaHub does not create, modify, pause, or delete advertising campaigns on any connected platform. The Service has read-only access to your ad platform data.
  • NaqlaHub does not make automated bidding decisions or manage your advertising budget.
  • NaqlaHub does not provide advertising services, media buying, or campaign management consulting.
  • NaqlaHub does not guarantee specific advertising performance outcomes.

4. Accounts & Workspaces

Account Registration

To use the Service, you must create an account by providing a valid email address, full name, professional position, and a password. You agree to provide accurate, current, and complete information and to keep it up to date.

Account Security

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at security@NaqlaHub.com if you suspect unauthorized access to your account.
  • We are not liable for any loss or damage arising from your failure to maintain account security.

Workspaces

Each workspace represents one store or client account. Workspaces are isolated — the data, credentials, and settings of one workspace are never accessible to another workspace, including workspaces owned by the same user on different accounts. The number of workspaces available to you is determined by your subscription plan.

One Account Per Person

Each user may hold only one registered account. Creating multiple accounts to circumvent subscription limits or enforcement actions is prohibited and may result in termination of all associated accounts.

5. Acceptable Use Policy

You agree to use the Service only for its intended purpose — analyzing your own advertising performance data from platforms on which you hold authorized accounts — and in compliance with all applicable laws, regulations, and these Terms.

Permitted Uses

  • Analyzing and monitoring advertising campaigns run by you or your clients, where you have explicit authorization to access their platform accounts
  • Exporting your own data for internal reporting, audits, and business analysis
  • Connecting advertising accounts for which you have legitimate administrative access
  • Using the Service to support lawful marketing operations

Agency & Client Work

If you are a marketing agency using the Service on behalf of clients, you represent and warrant that:

  • You have obtained explicit written authorization from each client to connect their ad platform accounts to NaqlaHub
  • Your clients are aware their data will be processed by NaqlaHub in accordance with this Privacy Policy
  • You will delete client workspace data upon termination of your engagement with that client

6. Prohibited Conduct

The following uses of the Service are strictly prohibited. Violation of these prohibitions may result in immediate account termination and, where applicable, legal action.

Technical Prohibitions

  • Attempting to access the Service by any means other than through the interfaces provided by NaqlaHub
  • Reverse engineering, decompiling, disassembling, or attempting to extract the source code of the Service
  • Using automated tools (bots, scrapers, crawlers) to access, extract, or interact with the Service
  • Attempting to probe, scan, or test the vulnerability of the Service or its infrastructure
  • Uploading or transmitting malicious code, viruses, or any software that could damage, disable, or compromise the Service or other users' data
  • Attempting to circumvent any authentication, access control, or Row Level Security mechanism
  • Accessing data belonging to another user or workspace, even if technical means of doing so were discovered

Legal and Ethical Prohibitions

  • Using the Service to process data obtained unlawfully or in violation of any third party's rights
  • Connecting advertising accounts for which you do not have legitimate, authorized access
  • Using the Service to facilitate fraud, including click fraud, impression fraud, or any form of advertising manipulation
  • Misrepresenting your identity, affiliation, or authority when using the Service
  • Using the Service in any way that violates the Terms of Service of any connected platform (Google, Meta, TikTok, Snapchat, Salla, Zid)
  • Reselling, sublicensing, or providing access to the Service to third parties without our express written consent
  • Using the Service to compete with NaqlaHub by building a similar or competing product

Content Prohibitions

While the Service does not host user-generated content in the traditional sense, you must not use workspace names, store names, or any other user-provided strings in the Service to:

  • Harass, threaten, or defame any individual or organization
  • Transmit hate speech, discriminatory content, or content that incites violence
  • Include personally identifiable information of third parties without their consent

7. Third-Party Advertising Platform Accounts

Connecting your advertising platform accounts to NaqlaHub is subject to the following terms:

Your Responsibility for Platform Compliance

By connecting a third-party advertising account, you represent and warrant that:

  • You are the authorized owner or administrator of that account, or have written authorization from the account owner
  • Your connection and use of that account through NaqlaHub complies with the terms of service and developer policies of the respective platform
  • You will not use NaqlaHub to violate any platform's API usage policies, rate limits, or data usage restrictions

Read-Only Access Scope

NaqlaHub requests only the minimum permissions necessary to retrieve your advertising performance data. We request and use read-only API scopes where available. We never request permissions to create, modify, or delete campaigns, budgets, or account settings on any connected platform.

Platform Policy Changes

Third-party platforms may change their APIs, terms of service, or data access policies at any time. NaqlaHub is not responsible for loss of access, data unavailability, or Service disruptions caused by changes to third-party platform policies.

Token Storage and Security

You acknowledge that by providing API credentials or authorizing OAuth access through NaqlaHub, those credentials are stored as described in our Privacy Policy Section 7. You remain responsible for revoking access through the respective platform's settings if you wish to disconnect a platform.

8. Intellectual Property

NaqlaHub's IP

The Service, including all software, code, design, user interface elements, logos, trademarks, text, graphics, and the "NaqlaHub" name, are the exclusive intellectual property of NaqlaHub and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in NaqlaHub's intellectual property.

Limited License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, NaqlaHub grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes.

Feedback

If you provide feedback, suggestions, feature requests, or bug reports to NaqlaHub ("Feedback"), you grant NaqlaHub a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize such Feedback in any manner without any obligation to you. You waive any moral rights you may have in such Feedback.

Your Content & Data

You retain full ownership of your advertising data and any other content you bring to the Service. NaqlaHub does not claim ownership of your data. See Section 9 for the scope of our license to process your data.

9. Your Data & Our License to Process It

By using the Service, you grant NaqlaHub a limited, non-exclusive, worldwide license to access, store, process, and display your advertising data and account data solely for the purpose of:

  • Providing the features and functionality of the Service to you
  • Maintaining, improving, and securing the Service
  • Complying with legal obligations

This license does not permit NaqlaHub to:

  • Sell or monetize your data to third parties
  • Use your advertising performance data to train machine learning models for use outside your workspace
  • Share your data with other NaqlaHub users or workspaces
  • Use your ad platform credentials for any purpose other than retrieving your data on your instructions

Your rights regarding your data, including access, correction, deletion, and portability, are described in our Privacy Policy Section 10.

10. Payment Terms

Placeholder — Payment Processing Not Yet Active: NaqlaHub currently offers a free plan with full core functionality. Paid subscription plans (Pro and Agency) are described on our pricing page and will be activated when our payment processing system goes live. This section will be updated with full payment terms at that time. The following provisions outline the intended framework and will apply when paid plans are activated.

Subscription Plans

NaqlaHub offers tiered subscription plans as described on our Pricing page. Plan features and pricing are subject to change with notice as described in Section 17.

Billing (When Activated)

  • Subscriptions will be billed in advance on a monthly or annual basis, as selected at time of purchase
  • Payment will be processed by [PAYMENT PROCESSOR TO BE NAMED — e.g., Stripe]. We do not store full payment card numbers
  • All prices are in USD unless otherwise stated at point of purchase
  • Taxes may apply depending on your jurisdiction and will be displayed at checkout

Free Trial

  • NaqlaHub may offer free trials for paid plans. The duration and features of any free trial will be communicated at time of offer
  • If a valid payment method is collected at the start of a free trial, your card will not be charged until the trial period ends
  • You may cancel before the trial ends to avoid any charge

Refunds

  • Monthly subscriptions: no refunds for partial months
  • Annual subscriptions: pro-rated refunds may be issued within 14 days of annual subscription commencement, at NaqlaHub's discretion
  • Refund requests may be submitted to billing@NaqlaHub.com

Failed Payments & Account Suspension

  • If a payment fails, NaqlaHub will attempt to process payment again within 7 days
  • If payment remains outstanding after two failed attempts, your account may be downgraded to the free plan or suspended
  • Your data will be retained for 30 days following downgrade or suspension before deletion, giving you time to update billing information or export your data

11. Service Availability

NaqlaHub aims to maintain the Service with high availability, but we do not guarantee uninterrupted, error-free access. The Service may be unavailable due to:

  • Scheduled maintenance (we will provide advance notice where possible)
  • Unplanned outages or technical failures
  • Third-party infrastructure outages (including Supabase's hosting infrastructure)
  • Changes or outages in third-party platform APIs (Google, Meta, TikTok, etc.) outside our control
  • Force majeure events

We will use commercially reasonable efforts to restore Service availability as quickly as possible following any outage. Service status can be checked at status.NaqlaHub.com.

12. Disclaimers of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.

Without limiting the foregoing, NaqlaHub specifically does not warrant that:

  • The data displayed in the Service is error-free or represents the complete, real-time data from your ad platforms — data is retrieved from third-party APIs and may be subject to delays, API limitations, or inaccuracies
  • The Service will meet your specific business requirements
  • The Service will be available at any specific time or be free from security vulnerabilities
  • Any defects in the Service will be corrected within any specific timeframe
  • Use of the Service will result in improved advertising performance or business outcomes

The accuracy of advertising metrics displayed in NaqlaHub is dependent on the accuracy of data provided by the respective ad platforms via their APIs. Discrepancies between NaqlaHub-displayed figures and platform-native dashboards may occur due to API reporting windows, attribution model differences, or data refresh delays. NaqlaHub is not responsible for such discrepancies.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NaqlaHub, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions where the exclusion of certain damages is not permitted by law, NaqlaHub's liability shall be limited to the maximum extent permitted.

Aggregate Liability Cap

NaqlaHub's total aggregate liability to you for any and all claims arising out of or related to these Terms or your use of the Service shall not exceed the greater of:

  • The total fees paid by you to NaqlaHub in the 12 months preceding the event giving rise to the claim; or
  • USD $100 (one hundred US dollars), if you are a free-plan user or have paid no fees in the preceding 12 months.

Essential Basis

You acknowledge that the limitations of liability set out in this section are a fundamental element of the basis on which NaqlaHub makes the Service available to you, and that NaqlaHub would not provide the Service without such limitations.

14. Indemnification

You agree to indemnify, defend, and hold harmless NaqlaHub and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right (including intellectual property rights and platform API terms)
  • Your connection of ad platform accounts to NaqlaHub without proper authorization
  • Your use of the Service on behalf of a client where you lack the authority to bind that client
  • Any misrepresentation made by you in connection with your use of the Service

NaqlaHub reserves the right to assume exclusive control of any matter subject to indemnification by you, at your expense. You agree to cooperate with NaqlaHub's defense of any such claim.

15. Account Suspension & Termination

Termination by You

You may terminate your account at any time by accessing your account settings and selecting "Delete Account," or by contacting us at support@NaqlaHub.com. Upon account deletion:

  • Your access to the Service will be terminated immediately
  • All your personal data and workspace data will be permanently deleted within 30 days, as described in our Privacy Policy Section 8
  • Any connected ad platform OAuth tokens will be invalidated from our systems (you should also revoke access from your platform settings)
  • No refunds will be issued for prepaid subscription periods

Suspension or Termination by NaqlaHub

We may suspend or terminate your account, with or without notice, if:

  • You materially violate these Terms, including the Prohibited Conduct provisions of Section 6
  • We are required to do so by applicable law or a competent regulatory authority
  • Your continued use poses a security risk to other users or our infrastructure
  • You provide false information during registration
  • Payment obligations remain unfulfilled after the grace period described in Section 10

For material violations, we will generally provide you with notice and a reasonable opportunity to cure the violation before termination, unless the violation is serious (e.g., unauthorized access to other accounts, active security attacks) or immediate action is required.

Effect of Termination

Upon termination for any reason, the license granted in Section 8 will immediately terminate, and you must cease all use of the Service. Sections 8, 12, 13, 14, 16, and 18 of these Terms survive termination.

16. Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions, reflecting NaqlaHub's primary market of operation and the jurisdictions of key integrated platforms (Salla and Zid).

EU/UK Users: Nothing in this governing law clause limits any mandatory consumer or data protection rights you have under the laws of the European Union, European Economic Area, or the United Kingdom, which cannot be contractually waived.

Informal Resolution First

Before initiating any formal legal proceeding, you agree to contact us at legal@NaqlaHub.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes informally within 30 days of receiving written notice. This requirement does not apply to applications for injunctive or other emergency relief.

Dispute Resolution

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be submitted to binding arbitration, to the extent permitted under applicable law. The seat of arbitration shall be in the Kingdom of Saudi Arabia, and proceedings shall be conducted in English or Arabic (or both) at either party's request.

Class Action Waiver

To the maximum extent permitted by applicable law, you waive any right to bring or participate in a class action or collective proceeding against NaqlaHub. All claims must be brought individually.

17. Modifications to the Terms

NaqlaHub reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Send an email notification to all registered users at least 14 days before the changes take effect (except in cases where immediate changes are required by law or to address a security emergency)
  • Display a prominent notice within the Service

Your continued use of the Service after the effective date of any updated Terms constitutes acceptance of those Terms. If you disagree with any updated Terms, you may terminate your account before the effective date.

We may also update the Service's features, pricing, or integrations at any time. Pricing changes for existing paid subscribers will be communicated with at least 30 days' advance notice, and you may cancel during that period without penalty.

18. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and NaqlaHub with respect to your use of the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

Waiver

NaqlaHub's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of NaqlaHub.

Assignment

You may not assign or transfer these Terms or your rights under them without NaqlaHub's prior written consent. NaqlaHub may freely assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.

Force Majeure

NaqlaHub shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet disruptions, government actions, or failures of third-party infrastructure providers.

No Third-Party Beneficiaries

These Terms do not confer any rights or remedies on any third party.

Language

The English language version of these Terms is the governing version. In the event of any conflict between a translated version and the English version, the English version shall control.
